Who we are
Vallou CPA, PC and Vallou, Inc. provide professional services under the Vallou name. See Legal for details on each entity.
The site is informational
vallou.com is a general information website. Content on the site is not tax, accounting, or other professional advice, and it is not a substitute for advice about your own facts.
Using the site does not create an engagement
Visiting the site, booking a call, or submitting a form does not create a client relationship and is not tax or accounting advice. An engagement begins only when both parties have signed a Master Services Agreement and the applicable Statement of Work.
Services
All professional services Vallou provides are non-attest. Vallou does not perform audits, reviews, compilations, or any engagement that expresses assurance.
When services are provided, they are governed by the Master Services Agreement and Statement of Work with the entity named in that agreement (typically Vallou, Inc.).
Acceptable use
You may use the site for lawful purposes. You may not attempt to gain unauthorized access, interfere with the site or its security, probe or scan it, introduce malicious code, or use the site to misrepresent your identity or your relationship with Vallou.
Sign-in and the client portal
If you receive credentials for a client area, keep them confidential and do not share them. That area is for authorized clients and the people they designate. It is not offered as a public software product. If you believe credentials have been compromised, email contact@vallou.com.
Submissions
Information you send through the site should be accurate to the best of your knowledge. Do not send information you are not prepared to share for the purpose of responding to an inquiry. Sending a message is not an engagement.
Intellectual property
The site, its content, and the Vallou name and marks belong to the Vallou entities or their licensors. You may view the site in the ordinary course of browsing. You may not copy, modify, or reuse the content or marks except with written permission.
Third-party links
The site may link to other websites. Those sites are operated by others. Vallou is not responsible for their content or privacy practices.
Disclaimer of warranties
The website is provided as is and as available. To the fullest extent permitted by law, Vallou disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the site will be uninterrupted or error-free.
This disclaimer applies to the website. It does not change the terms of a signed engagement.
Limitation of liability
To the fullest extent permitted by law, Vallou is not liable for damages arising out of your use of, or inability to use, the website, including indirect, incidental, special, or consequential damages.
This limitation applies to use of the website only. It does not limit obligations under a signed Master Services Agreement or Statement of Work.
Indemnity
You will indemnify the Vallou entities against claims, losses, and reasonable expenses arising from your misuse of the site or your violation of these terms, to the extent permitted by law.
Governing law and venue
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Venue for disputes about the website lies in the courts located in Collin County, Texas.
Resolving a disagreement
If you have a concern about the website, contact us at contact@vallou.com so we can try to resolve it by informal discussion. If that does not resolve it, the parties will attempt non-binding mediation before filing suit. Either party may then proceed in the courts of Collin County, Texas.
Changes
We may update these terms. The date at the top of the page is the date of the latest version. Continued use of the site after an update is acceptance of the revised terms.
